These Terms of Use govern your use of PayPortPro's stablecoin diversification platform. By using our service, you agree to these terms and our commitment to providing a secure, compliant platform for US businesses.

2. Eligibility

You must be a business entity or authorized representative of a business located in the United States, at least 18 years old, and legally capable of entering into binding agreements to use the Platform.

3. Platform Purpose

PayPortPro enables U.S.-based merchants to:

  • Issue and manage digital invoices
  • Accept payments via Stripe Checkout
  • Automatically convert net proceeds into stablecoins (USDC, PYUSD, or RLUSD) through MoonPay
  • Receive funds into their selected crypto wallet (e.g., MetaMask, Xaman)
  • Access optional features like the PayPort-branded uPay wallet and debit card (paid tier)
Important: PayPortPro is not a money transmitter. We do not custody, manage, or hold merchant or customer funds. All monetary transfers and conversions are handled by regulated third-party providers.

4. Service Availability & Launch Timeline

Pre-Launch Phase: PayPortPro is currently in pre-launch phase. Full service availability begins October 1st, 2025. Early access may be provided to waitlist participants based on availability.

Beta Testing: Early access participants may experience beta features and potential service interruptions. Beta users acknowledge that services may not be fully optimized or stable.

5. Waitlist Participation

By joining our waitlist, you agree to receive marketing communications about PayPortPro's launch. You may opt-out at any time. Waitlist participation does not guarantee early access or special pricing.

Waitlist data is collected for the purpose of:

  • Providing launch updates and early access opportunities
  • Understanding market demand and user preferences
  • Offering relevant product information and support
  • Facilitating account setup upon launch

6. Third-Party Services

PayPortPro integrates with third-party services including:

  • Stripe, Inc. for payment processing
  • MoonPay, Ltd. for stablecoin conversion
  • Optional exports to QuickBooks, Xero, or Ledgible for accounting

You are solely responsible for complying with the terms of these third-party services. PayPortPro assumes no liability for their availability, service levels, or errors.

7. User Responsibilities

As a PayPortPro merchant, you agree to:

  • Provide accurate and up-to-date business information
  • Maintain the security of your account credentials
  • Use the Platform for lawful business transactions only
  • Ensure that any wallet address provided is accurate and compatible

You are solely responsible for the accuracy and legality of your invoices and the integrity of blockchain wallet information provided.

8. Fees and Pricing

PayPortPro offers both free and premium service tiers. Paid tiers may include:

  • Advanced analytics
  • Higher transaction limits
  • Priority support and onboarding
  • Access to the uPay wallet and debit card

Fees and pricing are displayed on our website and are subject to change. Notice will be provided in advance of any pricing changes.

9. Stablecoin Conversion Disclaimer

Stablecoin conversions are executed through MoonPay based on the selected asset per invoice. The rate, timing, and blockchain confirmation are subject to network conditions.

⚠️ Important: Stablecoin transactions are irreversible. You are responsible for providing the correct wallet address. PayPortPro is not liable for loss due to incorrect or incompatible wallet submissions.

10. Refunds, Disputes & Chargebacks

Stripe handles all refund and dispute processes for fiat payments. Once funds are converted to stablecoins and sent to your wallet, reversals are not possible.

  • Refunds must be issued by the merchant before conversion
  • Chargebacks via Stripe may affect your PayPortPro account status if recurring

11. Data Handling & Privacy

PayPortPro collects only merchant-facing business information. We do not store customer cardholder data, payment credentials, or PII.

We log transaction metadata (e.g., timestamp, invoice ID, conversion status) to facilitate reporting.

12. Prohibited Use

You agree not to use PayPortPro for:

  • Money laundering or circumventing sanctions
  • Fraudulent invoicing
  • Crypto arbitrage or unlicensed financial activity
  • Any use violating U.S. law, FinCEN, or OFAC compliance

Violations will result in account suspension and may be reported to regulators.

13. Intellectual Property

PayPortPro's branding, logos, and platform content are the intellectual property of PayPort LLC. Unauthorized reproduction or distribution is prohibited.

14. Service Availability

The Platform is provided "as is." We make no warranties regarding uptime, transaction speed, or integration stability.

In no event shall PayPort LLC be liable for indirect, special, incidental, or consequential damages exceeding fees paid to PayPort in the past 12 months.

15. Account Termination

We may suspend or terminate your account at our discretion, including but not limited to:

  • Suspected fraud or AML triggers
  • Excessive chargebacks
  • Breach of these Terms

Termination does not limit our right to seek legal remedies.

16. Modifications

We may revise these Terms at any time. Changes will be posted on our site with a revision date. Continued use after updates constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of Delaware and applicable federal laws of the United States.
